Welcome to atndit, a software platform operated by Qodera Software Solutions ("Qodera", "atndit", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the atndit website, mobile applications, APIs, software, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.

These Terms apply to all users of the Platform, including Hosts, Guests, visitors, administrators, and anyone accessing or interacting with the Platform.


1. Definitions

For the purposes of these Terms:

Platform means the atndit website, software, mobile applications, APIs, and all related services provided by Qodera.

Host means any individual, company, organization, venue, instructor, academy, business, or other entity that creates, manages, promotes, or hosts events, appointments, workshops, courses, classes, meetings, or similar activities through the Platform.

Guest means any individual who browses, registers for, books, purchases, or attends an event or activity through the Platform.

Booking means a reservation, registration, appointment, ticket purchase, or enrollment made through the Platform.

Event means any activity created by a Host, including but not limited to workshops, conferences, seminars, training sessions, appointments, fitness classes, educational courses, webinars, meetings, social gatherings, exhibitions, or similar activities.

Content means any text, images, graphics, videos, logos, documents, descriptions, files, comments, reviews, messages, or other material uploaded, submitted, or displayed through the Platform.

Payment Provider means any third-party payment processor connected by a Host, including but not limited to Stripe, Paymob, Ziina, PayTabs, Checkout.com, or any similar provider.


2. About atndit

atndit is a software platform that enables Hosts to create, publish, manage, and operate events while allowing Guests to discover, register for, and attend those events.

The Platform provides features including, but not limited to:

  • Event creation and management
  • Online registrations
  • Appointment scheduling
  • Digital ticketing
  • QR code check-in
  • Guest management
  • Capacity management
  • Email notifications
  • Payment integrations
  • Analytics and reporting
  • Calendar integrations
  • Team collaboration tools

The Platform may evolve over time, and we reserve the right to introduce, modify, or discontinue features without prior notice.


3. Our Role

atndit is a technology platform.

We are not the organizer, promoter, owner, operator, sponsor, or manager of any event published through the Platform unless explicitly stated otherwise.

Each Event is independently created and managed by its respective Host.

Hosts are solely responsible for:

  • creating Events;
  • determining schedules;
  • setting ticket prices;
  • determining capacity limits;
  • establishing eligibility requirements;
  • communicating with Guests;
  • establishing cancellation and refund policies;
  • complying with all applicable laws.

Accordingly, atndit is not responsible for:

  • cancelled Events;
  • postponed Events;
  • inaccurate Event descriptions;
  • venue conditions;
  • changes to Event schedules;
  • Event quality;
  • speaker substitutions;
  • Host conduct;
  • Guest conduct;
  • disputes between Hosts and Guests.

Any dispute relating to an Event should first be directed to the Host responsible for that Event.


4. Eligibility

To use the Platform, you represent and warrant that:

  • you are at least eighteen (18) years old or the age of legal majority in your jurisdiction;
  • you have the legal authority to enter into these Terms;
  • all information you provide is accurate and complete;
  • your use of the Platform complies with applicable laws and regulations.

If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.


5. User Accounts

Certain features require an account.

You agree to:

  • provide accurate information;
  • maintain updated account information;
  • keep your password confidential;
  • maintain the security of your account;
  • immediately notify us of unauthorized access.

You are responsible for all activities occurring under your account.

You may not:

  • create multiple fraudulent accounts;
  • impersonate another person;
  • share accounts with unauthorized users;
  • transfer your account without our written permission;
  • use another person's account.

We reserve the right to suspend or terminate any account that violates these Terms.


6. Host Accounts

Hosts may use the Platform to create and manage Events.

By becoming a Host, you represent and warrant that:

  • you have the authority to host the Event;
  • all Event information is accurate;
  • you possess any licenses or permits required by law;
  • your Event complies with applicable laws and regulations.

Hosts remain solely responsible for every Event they publish.

Creating an Event on the Platform does not create any partnership, agency, employment, or joint venture relationship between atndit and the Host.


7. Host Responsibilities

Hosts are solely responsible for:

  • creating accurate Event listings;
  • maintaining up-to-date Event information;
  • determining prices;
  • determining ticket availability;
  • determining attendance limits;
  • honoring confirmed Bookings;
  • communicating with Guests;
  • responding to Guest inquiries;
  • complying with consumer protection laws;
  • complying with tax obligations;
  • obtaining required permits;
  • complying with venue requirements;
  • maintaining appropriate insurance where applicable.

Hosts must not:

  • create misleading Events;
  • sell fraudulent tickets;
  • collect Guest information for unlawful purposes;
  • infringe intellectual property rights;
  • discriminate unlawfully against Guests;
  • violate applicable laws.

Hosts are solely responsible for resolving disputes arising from their Events.


8. Guest Responsibilities

Guests agree to:

  • provide accurate registration information;
  • use only valid payment methods;
  • comply with Host rules;
  • respect venue policies;
  • present valid tickets or confirmations;
  • behave respectfully toward Hosts and other Guests.

Guests must not:

  • forge tickets;
  • duplicate QR codes;
  • attempt unauthorized entry;
  • disrupt Events;
  • harass other users;
  • engage in unlawful conduct.

Admission remains subject to the Host's policies and the validity of the Guest's Booking.


9. Event Listings

Hosts are responsible for ensuring that all Event information is complete and accurate.

This includes, but is not limited to:

  • title;
  • description;
  • location;
  • date;
  • time;
  • pricing;
  • ticket availability;
  • refund policy;
  • eligibility requirements.

While atndit may review reported content, we do not verify every Event listing and make no guarantee regarding its accuracy.


10. Platform Availability

We strive to maintain reliable Platform availability.

However, we do not guarantee uninterrupted access.

The Platform may occasionally become unavailable due to:

  • maintenance;
  • software updates;
  • infrastructure failures;
  • third-party service interruptions;
  • force majeure events;
  • internet outages;
  • cybersecurity incidents.

We reserve the right to suspend, modify, or discontinue any part of the Platform at any time without liability.


11. Bookings

Guests may book Events through the Platform using the booking methods made available by the Host.

A Booking is considered confirmed only when:

  • the Host accepts the Booking, where approval is required;
  • payment has been successfully completed for paid Events; or
  • the Booking is otherwise confirmed through the Platform.

Submitting a Booking request does not guarantee admission to an Event.

Hosts may establish eligibility requirements, attendance limits, approval processes, registration deadlines, or other conditions applicable to their Events.

atndit is not responsible for denied Bookings resulting from Host-defined requirements or capacity limitations.


12. Event Capacity

Hosts may limit the number of Guests permitted to attend an Event.

Once an Event reaches its published capacity:

  • additional Bookings may be prevented;
  • Guests may be placed on a waiting list where supported;
  • Hosts may increase or decrease capacity at their discretion.

Availability displayed on the Platform may change without notice.


13. Waiting Lists

Where available, Hosts may enable waiting lists for Events.

Joining a waiting list does not guarantee admission.

If a place becomes available, Guests may receive an invitation to complete their registration or payment within a specified timeframe.

Failure to complete the required steps within that timeframe may result in the invitation being offered to another Guest.


14. Tickets

For eligible Events, the Platform may issue electronic tickets.

Tickets may include:

  • QR codes;
  • confirmation emails;
  • digital passes;
  • unique booking references;
  • printable tickets.

Tickets remain valid only when:

  • issued by the Platform;
  • unaltered;
  • associated with a valid Booking.

Hosts may refuse entry to anyone presenting:

  • duplicated tickets;
  • modified tickets;
  • counterfeit tickets;
  • expired tickets;
  • revoked tickets.

Unauthorized resale, transfer, or commercial distribution of tickets may result in cancellation of the Booking.


15. QR Code Check-In

The Platform may use QR codes to facilitate Guest check-in.

Scanning a QR code serves only as confirmation that a Guest has checked in to the Event.

Hosts are responsible for ensuring that check-ins are performed accurately.

Guests are responsible for protecting their tickets and QR codes from unauthorized use.

atndit is not liable for denied entry resulting from:

  • stolen tickets;
  • duplicated QR codes;
  • Guest error;
  • Host error;
  • internet connectivity issues;
  • device failures.

16. Payments

Some Events require payment before a Booking is confirmed.

Payments are processed by third-party Payment Providers selected and connected by the Host.

atndit:

  • is not a financial institution;
  • is not the merchant of record;
  • does not directly process payment cards;
  • does not store full payment card information;
  • does not control payment processing decisions.

The applicable Payment Provider is solely responsible for authorizing, processing, and settling payments.


17. Payment Providers

Hosts may connect one or more third-party Payment Providers to receive payments from Guests.

By purchasing a ticket or making a payment, Guests acknowledge that payment processing is governed by the terms and privacy policies of the applicable Payment Provider.

atndit is not responsible for:

  • payment failures;
  • declined transactions;
  • payment delays;
  • bank processing times;
  • currency conversion;
  • payment provider outages;
  • payment provider fees.

Any disputes relating to payment processing should first be directed to the Host and, where applicable, the Payment Provider.


18. Host Financial Responsibility

Hosts are solely responsible for:

  • collecting payments;
  • managing payouts;
  • issuing refunds;
  • handling chargebacks;
  • paying taxes;
  • complying with financial regulations;
  • maintaining valid payment accounts.

Hosts represent that they have the legal right to receive payments for the Events they publish.


19. Platform Fees

Certain Platform features may require payment by Hosts.

Applicable fees may include:

  • subscription fees;
  • transaction fees;
  • service fees;
  • premium feature fees;
  • add-on services.

All applicable fees will be communicated before purchase.

Unless otherwise stated, all fees are non-refundable.

Failure to pay required fees may result in suspension or limitation of Platform access.


20. Taxes

Hosts are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to their Events.

Guests remain responsible for any taxes imposed upon them under applicable law.

atndit does not provide tax advice and is not responsible for determining tax obligations for Hosts or Guests.


21. Refunds

Refund policies are determined solely by each Host.

Before completing a Booking, Guests are encouraged to review the applicable refund policy published by the Host.

Unless required by law or expressly stated otherwise by the Host:

  • Bookings are non-refundable;
  • service fees may be non-refundable;
  • processing fees charged by Payment Providers may not be recoverable.

Where refunds are offered, the Host remains solely responsible for approving and processing those refunds.


22. Event Cancellations

Hosts may cancel or postpone Events.

If an Event is cancelled, the Host is responsible for:

  • notifying Guests;
  • communicating available options;
  • processing any applicable refunds.

atndit is not responsible for losses arising from cancelled or postponed Events, including travel expenses, accommodation costs, or other indirect losses.


23. Promotional Codes

Hosts may create promotional codes, discounts, coupons, or special offers.

Unless otherwise specified:

  • promotional codes have no cash value;
  • promotional codes cannot be exchanged for cash;
  • promotional codes may expire;
  • promotional codes may be revoked if used fraudulently.

Hosts remain solely responsible for promotional campaigns they create.


24. Subscription Services

Certain Platform features may require an active subscription.

Subscriptions may include different plans with varying features and usage limits.

Subscription fees are billed according to the selected billing cycle.

Unless otherwise stated:

  • subscriptions renew automatically;
  • Hosts may cancel future renewals at any time through their account settings;
  • cancellation does not entitle the Host to a refund for the current billing period.

25. Billing

Hosts authorize atndit or its authorized payment partners to charge the selected payment method for all applicable subscription fees.

If payment cannot be successfully processed, we may:

  • retry the payment;
  • suspend premium features;
  • downgrade the account;
  • suspend the account until outstanding balances are paid.

Outstanding balances remain payable even if Platform access is suspended.


26. Content

Users retain ownership of the Content they submit to the Platform.

By uploading Content, you grant atndit a worldwide, non-exclusive, royalty-free license to host, reproduce, process, display, publish, distribute, and otherwise use such Content solely for the purpose of operating, maintaining, improving, securing, and promoting the Platform.

You represent and warrant that:

  • you own the Content or have the necessary rights to use it;
  • the Content does not infringe the rights of others;
  • the Content complies with applicable laws.

27. Acceptable Use

You agree to use the Platform responsibly and lawfully.

You must not:

  • violate applicable laws;
  • submit fraudulent Bookings;
  • interfere with Platform security;
  • attempt unauthorized access;
  • upload malicious software;
  • distribute spam;
  • scrape Platform data without authorization;
  • infringe intellectual property rights;
  • harass or threaten other users;
  • impersonate another individual or organization;
  • use the Platform to facilitate illegal activities.

We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of accounts.


28. User-Generated Content

Hosts and Guests are solely responsible for any Content they publish through the Platform.

We reserve the right, but are not obligated, to review, remove, restrict, or disable access to Content that we reasonably believe:

  • violates these Terms;
  • infringes intellectual property rights;
  • contains unlawful material;
  • promotes violence or discrimination;
  • contains malicious software;
  • threatens Platform security.

Removing Content does not create any obligation for us to monitor future Content.


29. Intellectual Property

The Platform, including its software, source code, user interface, visual design, trademarks, logos, trade names, databases, documentation, and all related intellectual property, is owned by or licensed to Qodera Software Solutions and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not:

  • copy or reproduce the Platform;
  • modify or create derivative works;
  • reverse engineer or decompile any part of the Platform;
  • distribute, sublicense, lease, rent, or sell any portion of the Platform;
  • remove copyright, trademark, or proprietary notices.

Nothing in these Terms transfers ownership of the Platform or its intellectual property to you.


30. Feedback

We welcome suggestions, ideas, comments, and feedback regarding the Platform.

By submitting feedback to us, you grant Qodera Software Solutions a perpetual, worldwide, irrevocable, non-exclusive, royalty-free license to use, modify, publish, reproduce, distribute, and incorporate such feedback into the Platform without compensation or acknowledgment.

You represent that you have the right to provide such feedback.


31. Third-Party Services

The Platform may integrate with third-party services, including but not limited to:

  • Payment Providers;
  • Google Calendar;
  • Microsoft Outlook;
  • Zoom;
  • Microsoft Teams;
  • Google Meet;
  • Email service providers;
  • Analytics providers;
  • CRM platforms;
  • Marketing tools;
  • Communication services.

Your use of third-party services is governed by their respective terms and privacy policies.

atndit does not own or control these services and is not responsible for their availability, security, accuracy, or performance.


32. API Access

Where available, Hosts may access the Platform through public APIs.

API access is subject to any documentation, rate limits, authentication requirements, and usage restrictions published by atndit.

You may not:

  • abuse API rate limits;
  • attempt unauthorized access;
  • interfere with Platform stability;
  • use the API for unlawful purposes.

We may modify, suspend, or discontinue API access at any time.


33. Privacy

Your use of the Platform is also governed by our Privacy Policy.

By using the Platform, you acknowledge that we may collect, process, store, and use personal information as described in our Privacy Policy.

Hosts are independently responsible for complying with all applicable privacy and data protection laws relating to the personal information they collect from Guests through the Platform.


34. Security

We implement reasonable technical and organizational measures designed to protect the Platform and user information.

However, no online service can guarantee complete security.

You acknowledge that:

  • internet communications are not completely secure;
  • unauthorized access may occur despite reasonable safeguards;
  • you are responsible for maintaining the security of your own devices and account credentials.

35. Availability

We strive to maintain reliable Platform availability.

However, we do not guarantee uninterrupted or error-free operation.

Maintenance, upgrades, infrastructure failures, internet outages, cyberattacks, third-party service interruptions, or events beyond our reasonable control may temporarily affect Platform availability.

We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time.


36. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

Qodera Software Solutions expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • uninterrupted availability;
  • accuracy;
  • reliability;
  • security;
  • compatibility.

We do not warrant that:

  • the Platform will meet your requirements;
  • the Platform will operate without interruption;
  • defects will be corrected;
  • the Platform will be free from viruses or harmful components;
  • all information published by Hosts is accurate.

37. Limitation of Liability

To the fullest extent permitted by applicable law, Qodera Software Solutions and its directors, officers, employees, shareholders, affiliates, contractors, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

  • your use of the Platform;
  • inability to use the Platform;
  • cancelled or postponed Events;
  • inaccurate Event information;
  • payment failures;
  • payment provider outages;
  • Host conduct;
  • Guest conduct;
  • loss of profits;
  • business interruption;
  • loss of goodwill;
  • loss of data;
  • cybersecurity incidents;
  • unauthorized access to user accounts.

Our total aggregate liability arising out of or relating to these Terms or the Platform shall not exceed the greater of:

  • the total fees paid directly to atndit by you during the twelve (12) months preceding the event giving rise to the claim; or
  • one hundred United States Dollars (USD $100),

unless a greater amount is required by applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.


38. Indemnification

You agree to defend, indemnify, and hold harmless Qodera Software Solutions, its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, damages, judgments, losses, expenses, or legal fees arising out of or relating to:

  • your use of the Platform;
  • your Events;
  • your Bookings;
  • your Content;
  • your violation of these Terms;
  • your violation of applicable laws;
  • your infringement of third-party rights.

This obligation survives termination of your account.


39. Suspension and Termination

We may suspend, restrict, or terminate your access to the Platform immediately, with or without prior notice, where we reasonably believe that:

  • you have violated these Terms;
  • you have engaged in fraudulent activity;
  • you have used the Platform unlawfully;
  • your use poses a security risk;
  • continued access could expose us or other users to legal, financial, or operational harm.

We may also remove Events or disable specific Platform features where necessary to protect the Platform or its users.

Termination of your account does not relieve you of obligations incurred before termination, including any outstanding payment obligations.


40. Force Majeure

Qodera Software Solutions shall not be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • fires;
  • floods;
  • earthquakes;
  • epidemics or pandemics;
  • acts of government;
  • war;
  • terrorism;
  • labor disputes;
  • internet failures;
  • utility failures;
  • cyberattacks;
  • failures of third-party infrastructure or service providers.

41. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict of law principles.


42. Dispute Resolution

The parties agree to make reasonable efforts to resolve disputes through good-faith negotiations before initiating legal proceedings.

If a dispute cannot be resolved through negotiation, it shall be submitted to the competent courts of Cairo, Egypt, unless applicable law requires otherwise.


43. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose.


44. Waiver

Failure by Qodera Software Solutions to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be made expressly and in writing.


45. Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms, in whole or in part, as part of a merger, acquisition, corporate restructuring, sale of assets, or other business transaction.


46. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Qodera Software Solutions regarding your use of the Platform.

They supersede all prior discussions, agreements, understandings, or representations relating to the Platform.


47. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will provide reasonable notice through the Platform, by email, or through other appropriate communication channels.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the updated Terms.

If you do not agree with the revised Terms, you must discontinue your use of the Platform.

Effective Date
